Terms of Service

Please read these terms carefully. They govern your use of the Roavva platform and outline your rights, responsibilities, and our obligations.

1. Agreement to Terms

By creating an account, accessing, downloading, or using the Roavva platform, website, and mobile applications (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Roavva Inc. ("Roavva," "we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Services. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Services and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

2. Eligibility and Account Registration

To use certain features of the Services, you must register for an account. By registering, you agree to the following:

Eligibility: You must be at least 13 years old to use the Services. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian.

Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

•

Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

One Account: You may only register one account for yourself. You may not impersonate any person or entity or create an account for anyone other than yourself without permission.

3. User Conduct and Community Guidelines

We expect all users to respect the community. You agree NOT to violate any law, contract, intellectual property, or other third-party right or commit a tort, and that you are solely responsible for your conduct while on the Services. You agree that you will comply with these Terms and will not:

Harassment: Harass, threaten, intimidate, predatory, or stalk any other user.

•

Hate Speech: Post content that attacks, threatens, incites violence against, or dehumanizes anyone based on race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease.

Illegal Acts: Use the Services for any illegal purpose or in violation of any local, state, national, or international law.

•

Harmful Content: Post or transmit content that is defamatory, obscene, pornographic, offensive, or otherwise objectionable.

•

Platform Abuse: Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Services or to extract data.

•

Interference: Interfere with or disrupt the Services or servers or networks connected to the Services.

4. User Content and Proprietary Rights

Our Services allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post to the Services, including its legality, reliability, and appropriateness.

License to Roavva: By posting User Content on the Services, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with providing and promoting the Services.

Ownership: You retain any and all of your rights to any User Content you submit, post or display on or through the Services and you are responsible for protecting those rights.

•

Representations: You represent and warrant that: (i) the User Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

5. Experiences and marketplace

Roavva serves as a marketplace to connect users ("Attendees") with experience hosts ("Hosts"). We are not an organizer or creator of the experiences unless explicitly stated.

Host Responsibility: Hosts are solely responsible for their experiences, including safety, quality, and compliance with applicable laws. Roavva does not verify, endorse, or guarantee the safety or quality of any experience.

Assumption of Risk: Attendees knowingly and voluntarily assume all risks, whether known or unknown, associated with attending experiences, including risks of personal injury, illness, disability, theft, and death.

•

Release: You hereby release Roavva from any and all claims, demands, damages, rights of action, or causes of action, present or future, known or unknown, anticipated or unanticipated, resulting from or arising out of your attendance at any experience.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Roavva, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

Under no circumstances will Roavva be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Services or your account or the information contained therein. The total liability of Roavva for any claim arising out of or relating to these Terms or the Services, regardless of the form of the action, is limited to the amount paid, if any, by you to Roavva during the 12 months prior to the claim or $100, whichever is greater.

7. Disclaimers

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Roavva expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.

Roavva does not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

8. Indemnification

You agree to defend, indemnify, and hold harmless Roavva, its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Services.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any dispute arising from these Terms or the use of the Services shall be settled by binding arbitration in Nairobi, Kenya.
